Mr. Alexander limits his practice to business and corporate law, including business sales and acquisitions, the representation of professionals in the purchase, sale and operation of their practices, and succession planning for business owners. Mr. Alexander is licensed to practice in both Oregon and Washington.
Business and Corporate Law
Mr. Alexander assists clients in the formation and legal maintenance of corporations, partnerships, limited liability companies, joint ventures, sole proprietorships, and other types of business entities. His ongoing representation of such clients includes:
- Negotiation and drafting of complex contracts
- Providing guidance regarding employee benefits
- Drafting buy-sell agreements
- Maintaining accurate corporate records
Business Sales and Acquisitions
A substantial portion of Mr. Alexander's practice is devoted to representing clients in the sale or acquisition of businesses. Structuring such transactions so as to obtain the best possible tax advantages and utilizing a practical approach is always emphasized. Mr. Alexander's recent experience includes:
- Representing the sellers in a transaction involving the sale of a business with operations in 5 states and 3 foreign countries to a publicly traded company for a total purchase price in excess of $50 million
- Representing a corporate client in a tax-free reorganization involving a stock for stock exchange involving 3 companies with a combined value in excess of $35 million
- Structuring the purchase or sale of various ongoing businesses, including both tangible and intangible assets, for various clients with purchase prices ranging from $200,000 to in excess of $25 million
The needs of professionals, such as doctors, dentists, accountants and engineers, differ in many ways from those of other clients. Mr. Alexander has had extensive experience in advising such professionals in matters concerning:
- Acquisition or sale of the professional practice
- Admission of other professionals into the practice
- Structuring unique tax effective approaches to the admission of new partners or shareholders into professional practices
- Preparation of contracts to properly evidence transactions which occur between the professional corporation and its shareholders.
Succession Planning
In many instances the owners of closely held businesses do not wish to sell, but instead wish to transition the business to a younger generation. Mr. Alexander works closely with the estate planning and employee benefits lawyers in the firm to help develop and implement effective strategies for the successful transition of businesses to both family and non-family members in ways which reduce the tax cost to all parties involved.
Professional Activities
Mr. Alexander is a member of the Business Law and Tax sections of the Oregon State Bar Association. He has served on the Executive Committee and as the Chairman of the Business Law Section. Mr. Alexander has spoken at seminars sponsored by Willamette University College of Law, Chemeketa Community College, Salem Area Chamber of Commerce, the National Association of Accountants, the Mid-Valley Tax Forum, the Oregon State Bar Association, Oregon Health Sciences University, and LEGUS on business law and tax related topics. He currently serves as the Managing Shareholder of the firm, and has served on the Advisory Board and as Chair of LEGUS.
Civic and Charitable Activities
Mr. Alexander previously served on the Board of Directors of the Mission Mill Museum Association, and is past President of the Board of Directors of A.C. Gilbert's Discovery Village, a regional children's museum.
Education
Mr. Alexander attended the Willamette University School of Law, where he was the Managing Editor of the Willamette Law Review and graduated Cum Laude in 1983.
